A Delaware Statutory Trust v. Fortune 500 Corporation

A Delaware statutory trust, on behalf of its investors, brought a multi-million dollar claim against a Fortune 500 Company, arising from the Defendant’s transfer of control over the Trust to a third party, which collapsed in October 2005 shortly after the sale.  The Plaintiff filed claims of breach of fiduciary duty and aiding and abetting a breach of fiduciary duty.

Expert Ezra Zask led SFC Associates’ consulting team that worked closely with the Trusts’ legal counsel, Minnesota-based Maslon Edelman Borman & Brand, and filed a comprehensive expert report on due diligence responsibilities of a parent company when divesting a subsidiary, including a detailed analysis of over the counter (OTC) foreign exchange trading and prime brokerage operations and credit risk.
